Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "you") and NotifyHub ("Company", "we", "us", or "our") governing your access to and use of the NotifyHub platform, website, APIs, and associated services (collectively, the "Services").

By registering for an account, clicking "I agree," or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

NotifyHub is a software-as-a-service (SaaS) platform that enables website operators to create, manage, deploy, and track notification messages on their websites and WordPress installations. We provide a web-based dashboard, an embeddable JavaScript snippet, a WordPress plugin, analytics tools, and billing management.

3. Account Registration and Security

To use the Services, you must create an account by providing accurate, complete, and current information. You agree to:

• Maintain the security of your account credentials and not share them with third parties;
• Notify us immediately at support@notifyhub.com if you suspect unauthorized access;
• Take responsibility for all activity conducted through your account;
• Provide and maintain accurate billing and contact information.

4. Subscription Plans and Billing

4.1 Plans

We offer subscription plans as described on our Pricing page. Plan features, limits, and pricing are subject to change with 30 days' prior notice to existing subscribers.

4.2 Payment

Paid subscriptions are billed in advance on a monthly basis. Payments are processed securely by Stripe. All prices are in United States Dollars (USD) exclusive of applicable taxes.

4.3 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Where required by law, we will collect VAT or other taxes on top of the subscription fee.

4.4 Late Payments and Suspension

If a payment fails, we will notify you and may attempt re-billing. Accounts with overdue balances may be suspended after 7 days of non-payment. Suspended accounts retain data for 30 days before permanent deletion.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes. You must not use the Services to:

• Distribute spam, malware, phishing content, or deceptive notifications;
• Violate any applicable law or regulation, including data protection and privacy laws;
• Infringe the intellectual property rights of any third party;
• Harass, abuse, threaten, or discriminate against any person or group;
• Engage in any activity that disrupts or interferes with the Services;
• Attempt to gain unauthorized access to any part of the Services;
• Use automated means (bots, scrapers) to access the Services without prior written consent;
• Resell or sublicense the Services without our express written permission.

6. Intellectual Property

The Services and all software, algorithms, designs, trademarks, and content created by NotifyHub are our exclusive intellectual property. You retain all ownership rights to the notification content you create. By using the Services, you grant us a limited licence to host and display your content solely to provide the Services.

7. Data Processing

Where you use NotifyHub to deliver notifications to end-users, you act as the data controller and we act as the data processor. You must ensure you have a valid legal basis to process end-user data and maintain a compliant privacy notice. Our Data Processing Agreement is available upon request.

8. Limitation of Liability

To the fullest extent permitted by applicable law: the Services are provided "as is" without warranties of any kind; our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim; we shall not be liable for any indirect, incidental, consequential, or punitive damages. Nothing in these Terms limits liability for death, personal injury, fraud, or other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless NotifyHub, its officers, directors, employees, and agents from any claims arising out of your use of the Services in violation of these Terms, your Customer Content, or your violation of any third-party right.

10. Termination

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your data is retained for 30 days before permanent deletion.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which NotifyHub is registered. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. Modifications to Terms

We reserve the right to modify these Terms at any time with at least 30 days' advance notice by email and/or prominent notice on our platform. Your continued use after the effective date constitutes acceptance.
